These Research Use Terms & Purchase Agreement (“Agreement”) govern access to Sage Fitzpatrick Research’s website at https://www.sagepep.com and any purchase of products offered through the website. In this Agreement, “Company,” “we,” “us,” and “our” refer to Sage Fitzpatrick Research. “Customer,” “you,” and “your” refer to any visitor, purchaser, recipient, or other user of the website or products.
BY ACCESSING THIS WEBSITE, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
1. ADULT-ONLY ACCESS
You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement. Sage Fitzpatrick Research does not sell products to minors.
2. RESEARCH-USE-ONLY POLICY
Products offered by Sage Fitzpatrick Research are supplied solely for legitimate laboratory research purposes. Products are not intended for human or veterinary use, consumption, administration, diagnosis, treatment, cure, mitigation, or prevention of disease. You represent, warrant, and agree that any product acquired from Sage Fitzpatrick Research will be used solely for legitimate laboratory research purposes and in accordance with all applicable laws, regulations, institutional requirements, safety procedures, and handling requirements.
3. PROHIBITED USES
You agree that you will not use, offer, market, distribute, resell, transfer, or represent any Sage Fitzpatrick Research product for:
a. Human use, human consumption, human administration, or use in or on humans;
b. Veterinary or animal use, animal consumption, animal administration, or use in or on animals;
c. Diagnostic, therapeutic, prophylactic, medicinal, dietary supplement, food, cosmetic, or medical-device purposes;
d. Diagnosis, treatment, cure, mitigation, or prevention of any disease or health condition; or
e. Any unlawful, unsafe, misleading, or unauthorized purpose.
4. CUSTOMER REPRESENTATIONS
By placing an order, you represent and warrant that:
a. You are at least eighteen (18) years of age;
b. You are acquiring products solely for legitimate laboratory research purposes;
c. You have the knowledge, training, facilities, and equipment necessary to handle, store, and use research materials safely and lawfully;
d. You will review and follow all product-specific labeling, safety information, storage instructions, and handling instructions supplied by Sage Fitzpatrick Research;
e. You will not use any Company product for human or veterinary purposes; and
f. You will comply with all laws, regulations, restrictions, and requirements applicable to your purchase, possession, handling, use, transfer, and disposal of the product.
5. NO MEDICAL, VETERINARY, OR PROFESSIONAL ADVICE
Information provided on this website is for general informational and research-related purposes only. It is not medical advice, veterinary advice, diagnostic advice, treatment advice, or a recommendation for use in humans or animals.
Sage Fitzpatrick Research does not provide instructions, recommendations, or guidance for human or veterinary administration, dosing, consumption, treatment, diagnosis, or use of any product.
6. NO FDA APPROVAL REPRESENTATION
Unless Sage Fitzpatrick Research expressly identifies a specific product in writing as having a particular regulatory status, no statement on this website should be understood as representing that a product is approved by the U.S. Food and Drug Administration (“FDA”) for human or veterinary use.
7. ORDER REVIEW, ACCEPTANCE, AND CANCELLATION
Submission of an order does not constitute Sage Fitzpatrick Research’s acceptance of that order. Sage Fitzpatrick Research reserves the right, in its sole discretion and to the extent permitted by law, to refuse, limit, cancel, or require additional information regarding any order, including where the Company believes an order may be inconsistent with this Agreement, applicable law, product restrictions, shipping restrictions, payment-security requirements, or the Company’s research-use-only policy.
Sage Fitzpatrick Research may cancel an order before shipment and issue any applicable refund in accordance with its Refund Policy.
8. CUSTOMER RESPONSIBILITY
You are solely responsible for determining whether a product is suitable for your intended lawful research purpose and for ensuring lawful acquisition, storage, handling, use, transfer, and disposal.
You are responsible for reviewing all product information and safety documentation before handling a product. You assume all risks associated with your possession, storage, handling, and use of products after delivery, except where liability cannot be excluded under applicable law.
9. NO WARRANTY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.
Nothing in this Agreement excludes or limits any warranty or liability that cannot lawfully be excluded or limited.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAGE FITZPATRICK RESEARCH AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE WEBSITE, PRODUCTS, OR THIS AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAGE FITZPATRICK RESEARCH’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
11. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Sage Fitzpatrick Research and its owners, officers, employees, agents, suppliers, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your breach of this Agreement; unlawful use, transfer, resale, storage, handling, or disposal of products; or use of products inconsistent with the research-use-only policy.
12. PRIVACY
Sage Fitzpatrick Research’s collection and use of personal information are governed by its Privacy Policy. The Privacy Policy is available through the Privacy Policy link in the website footer.
13. CHANGES TO THIS AGREEMENT
Sage Fitzpatrick Research may revise this Agreement from time to time. The Effective Date and version number at the top of this page identify the current version. Continued use of the website or placement of an order after an updated Agreement is posted constitutes acceptance of the updated Agreement, to the extent permitted by law.
14. GOVERNING LAW
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
